This is a binding agreement ("Agreement") between Santek, LLC d/b/a Santek Online and each person who uses this websites ("You" or "Your"). This Agreement governs Your use of the websites (www.santekonline.com (the "Site)", including, without limitation, all content such as text, information, news, images, contracts, software and other downloadable material (collectively, the "Materials") and all services (the "Services") made available to You through these sites by Santek Online and/or third parties.

BY USING THIS SITE, YOU AGREE TO THE TERMS OF THIS AGREEMENT.

Limited License Our affiliate program grants You a non-exclusive limited license to use our name and portfolio to promote Santek Online to Your customers. You may not modify, copy or attempt to redistribute or resell our products or web sites without prior written consent from our company. Assignment You may not assign or transfer this affiliate license to anyone without prior written approve from our company. Santek Online may assign this Agreement, in whole or in part, in its sole discretion. Third Party Info Santek Online may use some third party information in our application. You agree that our company will not be liable for Your use or Your customer's use of this third party information. Promoting the program You may put a link anywhere on Your website or emails to Your customers. You agree not to send unsolicited email and spam that contains links to our site. We have a strict no-spam policy and You agree to provide evidence that customers and prospects have signed up to receive email from You in the event that a customer complains to us about spam from You regarding this affiliate program. Commission You earn 15% commissions, up to $500.00, on the gross sales for all web sites that are purchased from customers you submit via Your affiliate lead submission form. Each time an affiliate lead submission form is submitted, the information is sent to Santek Online and You will also receive a copy of all form submissions. Any refunds for Your customers will be deducted from the commission earned. Your commission payments will be processed via check once the Customer pays Santek Online in full for their website. Indemnification You agree to defend, indemnify and hold Santek Online, its parents, subsidiaries, affiliates and their respective members, directors, officers, employees and agents harmless against any losses, expenses, costs or damages (including Santek Online's reasonable attorneys' fees and other reasonable costs of litigation) arising from, incurred as a result of, or in any manner related to (1) Your breach of this Agreement, (2) Your unauthorized or unlawful use of the Site, the Materials or the Services, or (3) the unauthorized or unlawful use of the Site by any other person using Your account. Dispute Resolution Any dispute between Santek Online and You arising out of this Agreement shall be resolved first by direct communication with one or more of Santek Online's customer service representatives. Should Santek Online and You be unable to resolve the dispute by communication, either Santek Online or You may submit any dispute arising out of or relating to this Agreement, or the breach thereof, to final and binding arbitration administered by the American Arbitration Association nearest the place of Santek Online's headquarters and pursuant to Utah law. The arbitrator shall fully implement the intent and purposes of this Agreement and indemnify non-breaching parties for and hold them harmless from all losses, costs, and expenses (including costs of arbitration and reasonable attorneys' fees) resulting from any breach or from defending against any allegations of a breach determined to be unfounded.
